These Terms of Service constitute a legally binding agreement. By creating an account, subscribing to our service, or using OptionTerminal, you agree to these terms including BINDING ARBITRATION and a CLASS ACTION WAIVER. If you do not agree, DO NOT use our service.

Welcome to OptionTerminal.com ("the Service," "the Platform," "the Website"), operated by a Florida limited liability company ("Company," "we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our subscription-based options trading analysis platform.

1. Acceptance of Terms and Age Requirement

By creating an account, purchasing a subscription, or using OptionTerminal, you agree to be bound by these Terms and our Privacy Policy.

YOU MUST BE AT LEAST 18 YEARS OLD to use this Service. Options trading requires you to be 18 or older at most brokerages. By using OptionTerminal, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Service Description

OptionTerminal provides:

  • Options strategy analysis and optimization tools
  • Real-time and historical market data integration
  • Strategy backtesting capabilities
  • Options screening across multiple symbols
  • Payoff diagrams and risk analysis
  • Educational content and resources

The Service is a TOOL ONLY. We do not provide investment advice, execute trades, or manage accounts.

3. NO FINANCIAL ADVICE - CRITICAL DISCLAIMER

OPTIONTERMINAL DOES NOT PROVIDE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE.

All content, data, calculations, and tools are for INFORMATIONAL and EDUCATIONAL purposes only. Nothing on this platform constitutes:

  • A recommendation to buy, sell, or hold any security or option
  • Investment advice or strategy recommendations
  • Tax or legal advice
  • An offer or solicitation of securities

YOU ARE SOLELY RESPONSIBLE for all trading and investment decisions. Past performance does not guarantee future results. Options trading involves substantial risk of loss and is not suitable for all investors.

4. Subscription Terms and Billing

4.1 Subscription Plans

  • Monthly Plan: Billed monthly on the same calendar day
  • Annual Plan: Billed yearly with discounted rate
  • Free Trial: If offered, converts to paid subscription unless cancelled

4.2 Payment Processing

  • All payments processed via PCI-compliant payment processors
  • Payment due immediately upon subscription
  • Valid payment method required for account activation
  • We accept major credit cards and debit cards

4.3 Automatic Renewal

SUBSCRIPTIONS AUTOMATICALLY RENEW unless cancelled before the renewal date. By subscribing, you authorize recurring charges to your payment method. You will receive email notification 3 days before renewal.

4.4 Price Changes

We reserve the right to modify subscription prices. Existing subscribers will receive 30 days notice before any price increase takes effect. Continued use after the notice period constitutes acceptance of new pricing.

5. Refund and Cancellation Policy

5.1 Cancellation

  • Cancel anytime through your account settings
  • Cancellation effective at end of current billing period
  • Access continues until period ends
  • No partial refunds for unused time

5.2 Refund Policy

7-DAY MONEY BACK GUARANTEE for first-time subscribers only:

  • Request within 7 days of initial purchase
  • Email info@optionterminal.com with refund request
  • Account terminated immediately upon refund
  • One refund per customer lifetime

After 7 days: NO REFUNDS under any circumstances, including but not limited to:

  • Trading losses or poor investment outcomes
  • Disagreement with calculations or data
  • Service not meeting expectations
  • Lack of usage or login
  • Finding alternative services
  • Technical issues on user's device
  • Market conditions or volatility

5.3 Exceptions

Refunds MAY be considered at our sole discretion for:

  • Service completely unavailable for >72 consecutive hours
  • Duplicate or unauthorized charges
  • Death or medical emergency (documentation required)

5.4 Chargebacks

Initiating a chargeback instead of requesting a refund will result in:

  • Immediate account termination
  • Permanent ban from all services
  • Collection proceedings for the disputed amount
  • Legal action for fraudulent chargebacks
  • Reporting to credit agencies if applicable

6. Account Terms

6.1 Account Creation

  • Accurate information required for registration
  • One account per person/entity
  • You are responsible for account security
  • Must use strong, unique password
  • Notify us immediately of unauthorized access

6.2 Account Termination

We may suspend or terminate your account for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abuse of the platform or other users
  • Attempting to reverse-engineer or hack the Service
  • Sharing account credentials
  • Using automated tools or bots
  • Non-payment or payment disputes

7. Acceptable Use Policy

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware or malicious code
  • Attempt unauthorized access to our systems
  • Scrape, harvest, or collect data via automated means
  • Resell or redistribute our data or services
  • Share login credentials or account access
  • Use the Service for high-frequency or algorithmic trading
  • Overwhelm our servers with excessive requests
  • Circumvent usage limits or restrictions
  • Impersonate others or misrepresent affiliation
  • Manipulate or interfere with the Service

8. Data Accuracy and Limitations

IMPORTANT DATA DISCLAIMERS:

  • Market data may be delayed by 15-20 minutes
  • Historical data subject to revision
  • Calculations based on theoretical models
  • No guarantee of data accuracy or completeness
  • Data provided by third-party providers
  • Service availability dependent on market hours and data feeds

YOU MUST INDEPENDENTLY VERIFY all data and calculations before making any trading decisions. We are not responsible for losses due to data errors or delays.

9. Intellectual Property Rights

9.1 Our Property

All content, features, and functionality of OptionTerminal are owned by us and protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:

  • Software code and algorithms
  • User interface design and graphics
  • Logos, trademarks, and branding
  • Documentation and educational content
  • Proprietary calculations and methodologies

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes during your subscription period.

9.3 Restrictions

You may NOT:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the Service
  • Remove copyright or proprietary notices
  • Use our content for commercial purposes
  • Redistribute or resell any part of the Service

10. Risk Disclosures

OPTIONS TRADING RISKS:

  • You can lose your entire investment when trading options
  • Options expire and can become worthless
  • Market volatility can cause rapid losses
  • Complex strategies multiply risk exposure
  • Writing options can result in unlimited losses
  • Margin requirements can trigger forced liquidation
  • Assignment risk on short options
  • Liquidity risk in options markets

ONLY TRADE WITH MONEY YOU CAN AFFORD TO LOSE. Consider consulting with a qualified financial advisor before trading options.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Trading losses or missed profits
  • Loss of data or business interruption
  • Decisions based on our tools or data
  • Service outages or technical issues
  • Third-party data provider errors
  • Unauthorized account access

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 30 DAYS.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your trading or investment decisions
  • Content you submit or transmit through the Service
  • Your negligence or willful misconduct

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF DATA
  • UNINTERRUPTED OR ERROR-FREE SERVICE
  • SECURITY OR DATA PROTECTION

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

14. Dispute Resolution and Arbitration

14.1 Mandatory Binding Arbitration

YOU AGREE THAT ALL DISPUTES between you and us shall be resolved through BINDING ARBITRATION, except for claims that may be brought in small claims court. This includes disputes arising from:

  • These Terms of Service
  • Your use of the Service
  • Billing and refunds
  • Data accuracy or service quality
  • Privacy or data protection

14.2 Arbitration Procedures

  • Arbitration conducted by the American Arbitration Association (AAA)
  • AAA Consumer Arbitration Rules apply
  • Arbitration held in Miami-Dade County, Florida
  • Single arbitrator selected per AAA rules
  • Each party bears own attorney's fees
  • Arbitration fees split equally (we pay if under $10,000 claim)

14.3 CLASS ACTION WAIVER

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity. You may not bring claims as a plaintiff or class member in any purported class or representative proceeding.

14.4 Jury Trial Waiver

YOU WAIVE ANY RIGHT TO A JURY TRIAL for all disputes with us.

14.5 30-Day Opt-Out Right

You may opt out of arbitration by sending written notice to info@optionterminal.com within 30 days of account creation. Include your name, email, and a clear statement opting out of arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

16. Service Availability and Modifications

16.1 Service Availability

  • No guarantee of 100% uptime
  • Scheduled maintenance with advance notice when possible
  • Emergency maintenance without notice
  • Features may be added, modified, or removed
  • API rate limits and usage quotas may apply

16.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We are not liable for any modification, suspension, or discontinuation of the Service.

17. Third-Party Services and Links

OptionTerminal integrates with or links to third-party services including:

  • Market data providers
  • Payment processing services
  • Authentication services
  • External financial websites

We are not responsible for third-party services, their terms, privacy practices, or content. Your use of third-party services is at your own risk.

18. Export Control and Sanctions

The Service may be subject to U.S. export control laws. You represent that you are not:

  • Located in a country subject to U.S. embargo
  • On any U.S. government prohibited party list
  • Using the Service in violation of export laws

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. A waiver must be in writing and signed by an authorized representative.

22. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

23. Force Majeure

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

We may provide notices to you via the email address associated with your account or through the Service.

25. California Residents

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

26. Updates to Terms

We may update these Terms at any time. Material changes will be notified via:

  • Email to registered users
  • Prominent notice on the Website
  • In-app notification requiring acknowledgment

Continued use after notification constitutes acceptance of updated Terms. If you disagree with changes, you must stop using the Service and cancel your subscription.
